These terms apply to the Dua Vyapar software and website at retail.duadesk.com, provided by Dua Desk (a sole proprietorship of Ashish Dua), D4A/2 DLF Phase 1, Gurgaon, Haryana 122002, India ("we", "us"). By using the service you agree to them.
1. What we provide
For shops: the Dua Vyapar software ("the Munim"): billing, accounts, GST return preparation, stock, udhaar, staff and related tools, used through WhatsApp, the web app and the phone app.
For shopping areas: an optional shared online store for the shops of a market ("the online market"), with payments and delivery. Joining the online market is each shop's own choice; a shop may pause or leave it at any time.
2. Accounts and access
Sign-in is by a one-time code sent to your registered WhatsApp number. You are responsible for who you give access to (staff, your CA) and for keeping your phone secure. Tell us at once if you suspect misuse.
3. Fees for shops
The software is charged monthly, as agreed in writing with each shop, plus GST. Online-market sales carry a commission agreed with the market, deducted when the customer pays, together with GST on it and TCS as the law requires. There is no long-term contract: either side may end the subscription with 30 days' notice. Any free trial or pilot period is stated in writing.
4. Your data and your books
Your books, stock and customer records belong to you. We process them only to provide the service, as set out in our Privacy policy. You can export your books at any time and when you leave. Returns prepared by the software are drafts for you and your chartered accountant to check before filing; you remain responsible for what you file.
5. The online market: who sells
On the online market, each item is sold by the shop named on it. That shop is the seller, sets the price, issues the tax invoice and is responsible for the goods. We operate the platform as an e-commerce operator: we take the order and the payment through a licensed payment gateway, pass each shop its share when the customer pays, arrange delivery, and handle complaints. Payments are processed by Cashfree Payments; we do not store card details.
6. Customers of the online market
Prices include GST unless stated. Orders are confirmed when paid and accepted by the shop. Cancellations, returns and refunds follow our Refund and cancellation policy and delivery follows our Shipping and delivery policy, together with the market's own policies page. Liquor and other goods that may not lawfully be sold online are not listed.
7. Fair use
Do not use the service for anything unlawful, to send messages people have not agreed to receive, to list goods you may not sell, or to interfere with the service or other users' data.
8. Availability and limits of our responsibility
We take reasonable care to keep the service running and your data safe, including nightly encrypted backups. The service may sometimes be unavailable for maintenance or for reasons beyond our control; counter billing continues offline and syncs later. To the extent the law allows, our total liability to a shop for any claim is limited to the fees that shop paid us in the three months before the claim. Nothing here limits a consumer's rights under the Consumer Protection Act, 2019.
9. Changes, notices and law
We will give at least 15 days' notice on WhatsApp or email before a change to these terms that affects you. These terms are governed by the laws of India; courts at Gurugram, Haryana have jurisdiction, without affecting a consumer's right to approach a consumer commission.
